DRAFT — not legal advice, requires user/legal review before publish.
This document describes the proposed Cliphand service at https://cliphand.nuxec.com. It is a review draft, not a live agreement or an invitation to make payment. The landing-page order form and Stripe Checkout are not connected yet.
1. Who provides the service
Cliphand by NUXEC is the service name. The contracting legal entity is Aurora PowerUp LLC ("Cliphand", "we", "us"). Business address: [TBD]. Registration and tax details, where required: [TBD]. Support and refund contact: [TBD]. Terms owner and legal reviewer: [TBD].
The customer must have authority to order for the business, license the submitted materials, and approve advertising claims. Supported markets and any customer eligibility requirements must be confirmed before launch: [TBD]. Mandatory consumer protections continue to apply where applicable.
2. What you are buying
We create finished 20–40-second vertical video ads combining a clearly disclosed AI presenter with real footage of the exact product agreed in the order brief. The presenter is not a real human customer. We do not create fake personal experiences, endorsements, reviews or testimonials, or use AI-generated imagery as a substitute for footage of your exact product.
Each pack covers one product. A single order delivers one video; a three-video pack delivers three videos with three agreed hooks or angles. Three hooks give you three angles to test. We handle scripting, AI presenter delivery, editing, captions, music and a call to action. The complete brief records the deliverables, vertical format, language, hooks, product variant, intended channels and any technical export requirements before production. There is no promise of sales, views, return on ad spend or platform approval.
The price does not include bespoke filming, buying or shipping products, procurement of otherwise unavailable footage, campaign management, ad spend, extra product variants, extra languages, extra videos, or editable project/source files. Any separate service requires a written scope and price accepted by you before it starts. We do not add charges automatically.
Portfolio examples are labelled by provenance. The three owned DIY Life products are in-house demos. Other planned examples are self-initiated portfolio demos, not client work. Placeholder panels are not delivered examples or evidence of customer results.
3. Eligibility before payment
The order sequence is:
- You submit a product URL and proposed footage source.
- We confirm that the footage shows the exact product, its rights permit the proposed use, and the requested claims are feasible and supportable. Public visibility alone does not grant permission to use footage. A supplier listing is not proof of advertising rights.
- Only after that eligibility check do we invite payment through Stripe-hosted Checkout.
- After payment, you approve the complete brief and selected footage in writing.
- The first-draft delivery clock starts only after both approvals are complete.
If no eligible footage is available, we do not take payment or begin production. We may explain what footage or permission you would need to provide. New filming or procurement is not included in the pack price.
We may decline unlawful products, counterfeit goods, unsafe demonstrations, impersonation, unlicensed materials, deceptive advertising, unsupported health or performance claims, and other work we cannot responsibly produce. Regulated products require an individual assessment; acceptance is not a regulatory or platform compliance certification.
4. Prices, payment and taxes
Prices are in USD: $69 for one video or $149 for three videos (the recommended starter, approximately $50 per video). These are one-time purchases with no subscription, VIP scheme or automatic renewal. Full payment follows eligibility confirmation and precedes production approval.
The $229 five-video pack and $429 ten-video pack are locked until pilot throughput is demonstrated. They cannot be purchased and are not an offer to fulfil an order at this stage.
Applicable taxes and the total payable must be shown before payment. Tax registration, collection setup and market-specific pricing presentation: [TBD]. The accepted checkout total is the price for that order; later public price changes do not alter it.
Stripe processes the payment through its hosted Checkout. We do not hold full card numbers or card security codes. We receive the payment status and transaction information needed to administer the order. Stripe account configuration, merchant identity and receipt details remain [TBD]. Payment is not brief or footage approval.
5. The approved brief and footage record
Before the draft clock starts, the complete brief must identify the product/SKU or variant, audience, hooks/scripts, presenter direction, permitted claims and supporting evidence, captions, music direction, CTA, deliverables, intended channels and usage licence. The selected footage record identifies the actual files or stable references, versions, rights holders, permissions and relevant licence restrictions, including duration, territory and paid-ad use.
We keep the brief version, footage selection version, your explicit approval messages and their timestamps with the order. Silence does not count as approval. A changed product, claim, script direction or asset selection requires an updated version and explicit approval; it does not silently replace the previously approved record. We explain any effect on timing or scope before proceeding. Approval does not excuse our failure to deliver the agreed brief or remove your mandatory rights.
6. Delivery
First drafts are due within 3–5 business days after your complete brief and selected footage have both been approved. The later approval timestamp is the trigger. Payment alone, an initial product link, or an incomplete brief does not start the clock.
Operating timezone, business-day calendar and holiday schedule must be set before orders open: [TBD]. We confirm the actual draft due date in the approval record. We tell you promptly if a missing input, rights issue or agreed change affects timing and record the reason and revised date; we do not silently restart the clock. Final delivery follows review and any included revisions. No separate revision turnaround is promised until confirmed in the order record.
The order record specifies the delivery method and any download availability period: [TBD]. Keep a copy of your delivered files; this service is not indefinite file storage.
7. Included revisions — five rounds maximum
Each paid order includes up to five revision rounds in total, shared across all videos in that order. The allowance is not five rounds per video and is never unlimited.
One round means one consolidated set of feedback on the latest delivered versions, followed by one revised delivery addressing that set. Identify the video, version and timestamp where useful. We confirm the numbered round and changes in writing before acting. Asking a question or reporting an upload problem is not itself a revision round.
Included revisions bring the videos into line with the approved brief and may address script wording, presenter delivery, footage choice from eligible approved assets, captions, music and CTA. We check replacement assets and any changed claims before using them. A new product, new campaign or concept, extra hooks/videos, new filming or procurement, or a changed brief beyond that scope is not an included revision. We explain the difference and obtain written approval for any separate scope and price; we do not turn a brief-compliance correction into a paid upgrade.
We cannot substitute unlicensed footage, fabricate results, remove required AI disclosure or turn an AI presenter into a claimed real customer. Reaching the five-round cap does not cancel the approved-brief guarantee or any rights provided by law.
8. Approved-brief guarantee and refunds
“If included revisions can’t bring the video into line with the approved brief, we refund the affected order.”
To request a review or refund, use the support contact [TBD] and provide your order reference, approved brief version, relevant delivered versions and the remaining mismatch, with timestamps where helpful. We compare those records and use the included revision process where it can resolve the mismatch. You do not need to consume rounds that we agree cannot resolve it. If included revisions cannot bring the work into line, we refund the affected order.
For this guarantee, the affected order is the entire paid single-video order or entire paid pack containing the affected video. A three-video order is not quietly divided into per-video refunds. The guarantee refund is the full amount paid for that affected order, including taxes collected for it; we do not deduct production or payment-processing costs, replace it with credit, or impose an unannounced prorating formula.
We confirm the decision and refund amount in writing and return an approved refund to the original payment method through Stripe. Internal review/issuance service levels must be confirmed before launch: [TBD]. Bank posting times vary and are communicated when known. There is no invented short request window in this draft. Mandatory remedies, withdrawal rights and payment dispute rights are preserved.
The guarantee concerns conformity with the approved brief, not sales performance or a new creative direction after approval. Following a guarantee refund, the licence for that refunded order ends and you must stop new use of those finished videos, to the extent permitted by law. Treatment of existing placements is documented during the refund process without limiting mandatory rights.
9. Cancellation, pauses and inability to complete
You can request cancellation through [TBD]. Before production starts, we cancel and refund any payment for the order. Production does not begin before the approval gates above.
After production starts, request cancellation promptly. We explain the status, completed work and proposed resolution in writing. A discretionary change-of-mind cancellation schedule for work already performed is [TBD]; it must be settled and disclosed before launch, not imposed retroactively. The approved-brief guarantee and mandatory rights take priority over that schedule.
If we cannot lawfully or practically complete an accepted order, we tell you and refund the affected order rather than substitute another product or quietly reduce the deliverables. A pause for missing inputs is communicated and recorded; silence is not approval, abandonment, or permission to charge additional fees.
10. Licences, customer materials and AI disclosure
You retain rights you already hold in your product information, trademarks and submitted materials. You grant us only the permission needed to assess eligibility, produce, revise and deliver your order using approved service providers. You must have the required copyright, likeness, voice, privacy and advertising permissions for what you submit; we also check the usable rights of the footage and assets we select. Neither party may treat material being online as permission to reuse it.
After payment and subject to the asset permissions documented in the order brief, you receive a licence to use the finished videos in your own ads and channels. The brief confirms the permitted channels, territory, term, any editing limits and other asset restrictions before production approval. Any intended use not covered by those permissions must be cleared first. Underlying footage, music, presenter assets and other licensed components remain under their own licences. This is not a blanket transfer of ownership, exclusivity, source files, or a right to resell or extract individual assets. We do not promise exclusive copyright in AI-generated elements.
Every finished video includes a clear disclosure that the presenter is AI-generated and is not a real customer testimonial. The hero and every portfolio demo also disclose AI use. You must preserve that disclosure in your use and follow any additional requirements applicable to your market and platform. We do not script fabricated personal product experiences or endorsements.
Publishing your customer work or brand in our portfolio requires separate explicit permission identifying the permitted use. Buying the service does not grant that permission automatically.
11. Claims, use and responsibility
You provide accurate product information and evidence for requested claims. We flag claims we cannot support and do not produce deceptive personal experiences or fabricated product demonstrations. You review the approved brief and final output for your intended advertising context. Neither party's approval authorizes unlawful claims, infringements or unsafe uses. You are responsible for your campaign targeting, placements, platform account and changes you make to delivered content; we remain responsible for our own obligations to the extent required by law.
12. Privacy and confidentiality
The accompanying Privacy Policy draft explains proposed handling of order information and production materials. We use customer materials to fulfil the order and do not gain an automatic right to publish them or train models on them. Exact processor identities, their retention/training settings and any necessary data-processing terms must be confirmed before customer materials are processed: [TBD]. Each party should limit disclosure of confidential materials to people and providers who need them for the order and appropriate legal purposes.
13. Service limits and liability
We promise the described service, delivery trigger, included revisions and approved-brief guarantee. We do not guarantee advertising performance, exclusive AI output, or uninterrupted third-party systems. Any exclusion of implied warranties or liability for indirect or consequential losses applies only to the extent permitted by law and cannot override express commitments, the refund guarantee, or mandatory consumer rights.
Nothing excludes or limits liability that cannot lawfully be excluded or limited, including fraud and any other non-excludable liability under applicable law. This draft sets no specific monetary liability cap. Any additional limitation requires user/legal review before publication and must not diminish the approved refund promise.
14. Disputes, changes and order records
Raise concerns through [TBD] so we can review the order record. Governing law and dispute venue: [TBD], subject to any mandatory protections in your jurisdiction. This draft does not impose compulsory arbitration or waive class, consumer or payment dispute rights.
We date and version future Terms and give notice of material changes where required. An accepted order remains governed by the version accepted for it and its approved brief; changes are not applied retroactively without a lawful, explicit agreement. The brief cannot quietly remove the five-round allowance or affected-order refund promise. Any service change must preserve mandatory rights.
Review notes — remove only after resolution
The cancellation schedule, calendar, delivery access period, licence details, processor controls, merchant setup, contracting identity, support route, markets, governing law and named reviewer remain unresolved as marked above. Exact portfolio purchase SKUs and Batch-1 budget are [TBD]; this draft authorizes no purchase, filming expense, GPU use or launch.
Structure and topic coverage were reviewed against the live Viral Ecom Adz Terms, Privacy, Refund Policy and FAQ, and MakeUGC's Terms, Privacy and Refund Policy, on 16 October 2026. These are research references, not incorporated terms, partners or endorsements. Their wording, subscription rules, refund exclusions, business identities and liability amounts have not been adopted.
Revision research limitation: Viral Ecom Adz's homepage says a revision round is included, its AI UGC product page advertises unlimited revisions, and its FAQ also associates unlimited revisions with VIP. A detailed definition of one round was not verifiable in the accessible public policy/form text. Section 7 therefore defines Cliphand's own approved-brief scope and five-round maximum.
